Provider Terms

Last updated: November 3, 2026

Effective date: November 3, 2026 · Version: 1.0 · Applies to: anyone who offers consultations, readings, courses, or other services to AstroYou members through the AstroYou platform ("Providers").

These Provider Terms ("Terms") are an agreement between you and Smart Ocular Studio LLC, a California limited liability company doing business as AstroYou ("AstroYou," "we," "us"). They supplement the AstroYou Terms of Use, the Privacy Policy, the Community Guidelines and the Booking Policy, all of which also apply to you. If these Terms conflict with the Terms of Use, these Terms control for your activity as a Provider.

By applying to become a Provider, completing onboarding, or publishing a listing, you accept these Terms. If you have also signed a separate written agreement with AstroYou (for example a Consultant Agreement or a Core Collective agreement), that signed agreement controls where it conflicts with these Terms.

1. Who this covers

1.1 Eligibility. You must be at least 18, legally able to enter into contracts, and able to receive payouts through our payment partner in a supported country. You must apply through the practitioner sign-up and be approved by AstroYou. We may decline or revoke approval at our discretion.

1.2 Businesses. If you provide services through a company or other entity, you accept these Terms on its behalf and confirm you are authorized to do so. "You" then means both you and the entity.

1.3 Accurate information. You must give us accurate, current information at onboarding (legal name, tax information, payout details, credentials you claim) and keep it updated. We may verify any of it and may suspend your listings until verification is complete.

2. Provider levels

2.1 Practitioner (free). A free profile and listing in the AstroYou directory, the ability to be booked by members, and access to basic tools. Platform fees under section 6 apply to every sale.

2.2 Pro. A paid subscription that adds the AstroYou CRM and practice tools (client notes, session history, scheduling, follow-ups), priority placement, and other features we describe at purchase. Pricing is shown at sign-up; at launch it is US$39 per month or US$390 per year, with founding members at US$29 per month for as long as they stay subscribed without a lapse. Pro subscriptions renew automatically until cancelled; cancel any time and the subscription ends at the close of the paid period. Pro fees are not refundable except where the law requires it.

2.3 Core Collective. An invitation-only tier. Its benefits and obligations are agreed individually in writing between AstroYou and each member. Where that written agreement and these Terms differ, the written agreement controls.

2.4 Changes to levels. We may add, change, or retire levels and features on 30 days' notice to affected Providers. If a change materially reduces what you paid for, you may cancel and we will refund the unused portion of any prepaid subscription.

3. Relationship

3.1 Independent contractor. You are an independent professional, not an employee, agent, partner, or joint venturer of AstroYou. You set your own hours, decide which bookings to accept, and use your own methods and judgment. Nothing in these Terms creates an exclusive relationship; you may offer services elsewhere, subject to section 12.

3.2 Your responsibilities. You are solely responsible for your taxes, licenses, permits, insurance, and compliance with the laws that apply to you and your services, including any rules on fortune-telling, counseling, or health-related claims in your jurisdiction. AstroYou does not withhold taxes for you. US Providers will receive a Form 1099 where required.

3.3 What AstroYou does. AstroYou provides the platform: your listing, discovery by members, booking, payment collection, messaging, and the tools described in section 2. AstroYou is not a party to the service relationship between you and a member, does not supervise your services, and does not guarantee you any volume of bookings or income.

3.4 No authority to bind. You may not make promises, representations, or commitments on AstroYou's behalf, or describe yourself as an AstroYou employee or representative.

4. Your profile and listings

4.1 Truthful profile. Everything in your profile and listings must be accurate: your name or professional name, photo, experience, certifications, specialties, languages, and prices. You may not claim credentials you do not hold or use titles (such as "doctor," "therapist," "licensed") that you are not legally entitled to use.

4.2 Listing content. You grant AstroYou the license in section 15 for the content in your profile and listings. You confirm you own or have permission to use everything you upload, including photos.

4.3 Pricing. You set your own prices within any minimums and maximums we publish. Prices must be shown in full, in US dollars unless we support other currencies, and you may not charge members separately outside the platform for services booked through it.

4.4 Availability. Keep your calendar accurate. Repeated no-shows or last-minute cancellations are handled under the Booking Policy and section 13.

4.5 Edits and removal. We may edit your listing for formatting, clarity, or compliance, and may hide or remove any listing that violates these Terms or the Community Guidelines. We will tell you when we do and why, except where we are not permitted to.

5. Your conduct and standards

5.1 Nature of services. AstroYou services are for reflection, insight, and entertainment. You must not present astrology, readings, or related services as a substitute for medical, mental-health, legal, financial, or other professional advice. If a member raises a medical, safety, or legal matter, direct them to an appropriate professional or, in an emergency, to local emergency services.

5.2 Vulnerable members. You must not exploit a member's fear, grief, dependency, or vulnerability, and must not use curses, "removal" services, pressure, or fear-based upselling.

5.3 Community Guidelines. The Community Guidelines apply to all your conduct on the platform, including sessions, messages, discussions, and course content.

5.4 Confidentiality of sessions. What members share with you in sessions and messages is confidential. You may use it only to deliver your services, and must not share, publish, or use it for marketing without the member's written consent.

5.5 Recording. You may not record sessions unless the platform's recording feature is used with the member's clear consent shown in the app.

5.6 Minors. AstroYou members must be 18 or older to book consultations. If you believe a member is a minor, end the session and report it to us.

5.7 Insurance. We recommend, but do not require, that you carry professional liability insurance appropriate to your services.

5.8 Platform integrity. You may not manipulate reviews, create fake bookings, run promotions that contradict ours, scrape member data, or use automation against the platform without our written permission.

6. Fees and payouts

6.1 Platform fee. For every consultation, reading, course enrollment, or other sale made through AstroYou, AstroYou deducts 18.5% of the amount the member pays, made up of a 15% platform fee and a 3.5% payment-processing charge that covers our payment partner's transaction costs. The remaining 81.5% is your earnings. No other fees are deducted unless this section or section 7 says so, and the deduction is shown on each transaction in your dashboard.

6.2 Payment processing. Members pay AstroYou through our payment partner. You authorize AstroYou to collect payment on your behalf, deduct the platform fee and any refunds, chargebacks, or amounts you owe us, and pay you the balance. Payment by a member to AstroYou satisfies the member's obligation to pay you.

6.3 Payouts. We pay earnings monthly, on or about the 15th of the month following the month in which the service was completed, once your balance reaches US$25. Payouts go through our payment partner (currently Stripe Connect) to the account you connect at onboarding. You must complete the partner's identity and tax steps before your first payout. Balances below the minimum roll forward.

6.4 Holds. We may hold or delay a payout while a refund request, chargeback, dispute, or investigation under section 13 is open, or where our payment partner or the law requires it.

6.5 Taxes. Amounts we pay you exclude any taxes you owe. You are responsible for income and self-employment taxes. Where we are required to collect or remit sales tax, VAT, or similar on sales to members, we will do so and it will not reduce your earnings beyond what the law requires.

6.6 Fee changes. We may change the platform fee or payout terms on at least 30 days' written notice. Changes apply to sales made after the effective date. If you do not agree, you may stop offering services and close your Provider account before the change takes effect.

6.7 Statements and errors. Your dashboard is your statement. Tell us about any error within 60 days of the payout; we will investigate and correct genuine errors.

7. Refunds and chargebacks

7.1 Booking Policy. Member refunds are governed by the Booking Policy. You agree to honor it.

7.2 Who absorbs a refund. Unless we agree otherwise in writing:

  • If a refund results from your cancellation, no-show, lateness, failure to deliver, or breach of these Terms, the full refunded amount is deducted from your earnings, and the platform fee is not returned to you.
  • If a refund results from the member's cancellation within the free-cancellation window, nothing is deducted because nothing was earned.
  • If AstroYou grants a goodwill refund that is not caused by you, AstroYou bears the cost and your earnings are not reduced.
  • If the cause is disputed, we decide in good faith after reviewing the booking record, messages, and any evidence either side gives us.

7.3 Chargebacks. If a member's bank reverses a payment, we will contest it where we reasonably can. If the chargeback stands, the loss and any processor fee are shared in the same proportion as the sale: you bear your earnings share and AstroYou bears the platform-fee share, unless the chargeback was caused by your breach, in which case you bear it in full.

7.4 Recovery. We may deduct amounts you owe under this section from future payouts. If your balance is insufficient, you agree to pay us within 30 days of our invoice.

8. Bookings

8.1 Accepting bookings. When a member books you, you commit to delivering the service at the booked time through the platform's session tools unless the member agrees to another method in the app.

8.2 Cancellations and rescheduling. You may cancel or reschedule under the Booking Policy. Provider-initiated cancellations within 24 hours of the session count against you under section 13.

8.3 No-shows. If a member does not appear within 15 minutes of the start time, you may end the session and keep the fee under the Booking Policy. If you do not appear within 15 minutes, the member receives a full refund under section 7.2.

8.4 Delivery. Recorded readings and written reports must be delivered within the time shown in your listing. If you cannot meet it, tell the member through the app before the deadline.

8.5 Keep it on the platform. All bookings and payments for members introduced through AstroYou must go through the platform for as long as section 12 applies. Offering to move a member off-platform to avoid fees is a breach.

9. Courses and content

9.1 What you may sell. Courses, workshops, recorded readings, guided practices, and similar content you create. Each must be described accurately, including length, format, level, and what is included.

9.2 Ownership. You keep ownership of your course content. You grant AstroYou the license in section 15 to host, stream, display, and promote it, and to keep delivering it to students who bought it even after you leave the platform, for the access period those students were promised.

9.3 Standards. Course content must comply with the Community Guidelines and section 5. It may not contain content you do not have the rights to (music, images, text, other people's teachings presented as your own).

9.4 Pricing and refunds. You set course prices within our published limits. Course refunds follow the Booking Policy's course rules; where a course is refunded because it was materially not as described, section 7.2 applies as if you had failed to deliver.

9.5 Removal. You may unpublish a course at any time, which stops new sales. Existing students keep access for their promised period. We may remove a course that violates these Terms and will tell you why.

10. Client and student data

10.1 What you receive. To deliver a booking, we share with you the member's display name, birth data they have chosen to share, the booking details, and messages they send you. For a course, we share the student's display name and progress. We do not share a member's email, phone number, or payment details unless the member gives them to you directly.

10.2 Permitted use. You may use member information only to deliver the booked service or course, to communicate with the member about it through the platform, and as the member expressly asks. You may not use it for marketing, sell or share it, add members to your own mailing lists without their separate consent, or keep it longer than you need for the service and any legal record-keeping.

10.3 Your obligations. You must keep member information secure, tell us within 48 hours if you become aware of unauthorized access to it, and delete or return it when we ask or when a member exercises a deletion right. You must comply with the privacy laws that apply to you.

10.4 Privacy Policy. AstroYou's Privacy Policy describes to members how their information is used and shared with Providers. You must not do anything with member information that the Privacy Policy does not permit.

11. CRM and practice tools (Pro)

11.1 Your data. When you use the AstroYou CRM to store information about your own clients, including clients who are not AstroYou members, you are the controller (or business) for that information and AstroYou processes it on your behalf. Annex A (Data Processing Addendum) applies.

11.2 Your responsibility. You are responsible for having the right to store and use the client information you enter, for giving your clients any notices the law requires, and for responding to their privacy requests. We will help you respond where our tools allow it.

11.3 Our access. We access CRM data only to provide, secure, and support the service, to comply with law, or as you instruct. We do not use it to market to your clients or to build profiles of them.

11.4 Export and deletion. You can export your CRM data at any time in a common format. If your Pro subscription ends, you have 90 days to export it, after which we may delete it. On written request we delete it sooner.

12. Non-circumvention

12.1 Scope. For 12 months after a member first books or messages you through AstroYou, you agree not to solicit or accept bookings or payments from that member for the same or similar services outside the platform, and not to direct that member off-platform for that purpose.

12.2 Carve-outs. This section does not apply to a person who was already your client before they contacted you through AstroYou, where you can show records of that relationship, nor to a member who independently finds you through a channel unrelated to AstroYou after the 12 months, nor to services that AstroYou does not offer.

12.3 Remedy. If you breach this section, in addition to our other remedies, you agree to pay AstroYou the platform fee it would have earned on the off-platform transactions, and we may terminate your Provider account.

12.4 Reasonableness. The parties intend this section to protect AstroYou's investment in bringing members to you and to be no broader than needed. If a court finds any part unenforceable, it will be narrowed to the extent needed to be enforced.

13. Reviews, quality, and removal

13.1 Reviews. Members may rate and review you after a session or course. Reviews are the member's opinion. We do not remove reviews because they are negative; we remove reviews that violate the Community Guidelines (for example harassment, discrimination, or off-topic content) or that we reasonably believe are fake. You may reply to a review publicly once, in keeping with the Community Guidelines, and must not pressure members to change or remove a review.

13.2 Quality signals. We track completion rate, cancellation rate, response time, no-shows, refunds, and member reports. We may use these to rank listings, limit visibility, require a conversation with our team, or, where patterns are serious or persistent, suspend or remove you.

13.3 Investigations. If we receive a report about you, we may pause your listings while we look into it. We will tell you the substance of the concern and give you a chance to respond, unless doing so would compromise a member's safety or we are legally prevented.

13.4 Immediate removal. We may remove you immediately, without a prior conversation, for: threats, harassment, or abuse of a member; exploiting a vulnerable member; sexual contact or advances toward a member; credential fraud; a confirmed off-platform payment scheme; a breach of section 10; or illegal conduct. We will tell you the reason in writing.

14. Confidentiality

14.1 Confidential information. Each of us may learn non-public information about the other: for you, this includes unreleased features, pricing plans, member counts, business metrics, and anything marked confidential; for us, this includes your earnings, client lists in the CRM, and unpublished course material. Each of us will use the other's confidential information only for the purposes of these Terms and will not disclose it to anyone who does not need to know it.

14.2 Exceptions. This does not cover information that is public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law (in which case the receiving party gives notice where permitted).

14.3 Duration. These obligations last for three years after your Provider account ends, and for member and client information, for as long as it is held.

15. Intellectual property and license

15.1 Yours stays yours. You keep all rights in your name, likeness, profile content, course content, and the services you deliver.

15.2 License to AstroYou. You grant AstroYou a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, stream, adapt for formatting, and distribute your profile, listings, and course content on the platform and in AstroYou's marketing of the platform (for example featuring your listing in the app, on astroyou.com, in emails, and on social media), for as long as you are a Provider, plus the period needed to keep delivering purchased courses under section 9.2 and to keep lawful records. We will stop using your name and likeness in new marketing within 30 days after you leave.

15.3 AstroYou's property. The AstroYou name, logo, app, website, software, chart engine, AI features, and all content we create belong to Smart Ocular Studio LLC. AstroYou® is a registered trademark of Smart Ocular Studio LLC and the AstroYou logo™ is the subject of a pending registration. You may use the AstroYou name and badge only to say that you offer services on AstroYou, in the form we provide, and must stop when you leave.

15.4 Feedback. If you give us ideas or suggestions, we may use them without obligation to you.

15.5 Copyright complaints. If you believe content on AstroYou infringes your rights, email support@astroyou.com with the details required under the Terms of Use.

16. Liability and indemnity

16.1 Your services are yours. You are responsible for the services and content you provide and for your interactions with members. AstroYou does not endorse, verify, or guarantee any Provider's services beyond the checks we describe at onboarding.

16.2 Indemnity. You will defend, indemnify, and hold harmless AstroYou, its owners, officers, and contractors from any third-party claim, loss, or expense (including reasonable legal fees) arising from your services, your content, your breach of these Terms or the law, your tax obligations, or your handling of member or client information. We will notify you promptly of any claim and let you control the defense, with our reasonable cooperation, provided you do not settle in a way that admits fault on our behalf without our consent.

16.3 Our platform is provided as is. The platform and tools are provided "as is" and "as available." We do not promise uninterrupted or error-free service, any level of bookings or earnings, or that the platform meets your particular needs. To the fullest extent the law allows, we disclaim all implied warranties.

16.4 Limits. To the fullest extent the law allows, AstroYou is not liable to you for lost profits, lost bookings, lost data, or indirect, incidental, special, or consequential damages, and our total liability to you for all claims in any 12-month period will not exceed the platform fees we retained from your sales in that period or US$500, whichever is greater. These limits do not apply to our payout obligations under section 6, to either party's indemnity, to breaches of section 14, or to liability that cannot be limited by law.

17. Term and termination

17.1 Term. These Terms apply from the day you accept them until your Provider account ends.

17.2 By you. You may close your Provider account at any time from your dashboard or by emailing support@astroyou.com. Existing bookings must be completed or cancelled under the Booking Policy. Students keep access to purchased courses under section 9.2.

17.3 By us. We may suspend or end your Provider account: immediately under section 13.4; on 14 days' notice for other breaches you do not cure in that time; or on 30 days' notice for any reason, including if we discontinue the Provider program.

17.4 After the end. We pay your final earnings on the next regular payout date, less any deductions under section 7 and subject to a hold of up to 90 days for chargebacks. Sections 7, 10, 11.4, 12, 14, 15.2 (for the retained period), 16, 18, and 19 survive.

17.5 Updates to these Terms. We may update these Terms. For material changes we give at least 30 days' notice by email and in your dashboard. Continuing to offer services after the effective date means you accept the change. If you do not agree, close your Provider account before then.

18. Disputes

18.1 Talk first. If you have a dispute with AstroYou, email support@astroyou.com with "Provider dispute" in the subject. We will try to resolve it informally within 30 days.

18.2 Arbitration. If we cannot resolve it, any dispute arising out of these Terms or your Provider relationship will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by a single arbitrator, in Contra Costa County, California, or by video where the arbitrator permits. The arbitrator, not a court, decides whether a dispute is covered by this section. The arbitrator may award the same relief a court could, to the individual claimant only. Judgment on the award may be entered in any court with jurisdiction.

18.3 Exceptions. Either party may bring an individual claim in small-claims court, or seek an injunction in court to protect intellectual property, confidential information, or member data.

18.4 Class waiver. Disputes are resolved individually. Neither of us may bring or join a class, collective, or representative action. If this waiver is found unenforceable for a particular claim, that claim proceeds in court, not in arbitration.

18.5 Opt-out. You may opt out of arbitration by emailing support@astroyou.com within 30 days after first accepting these Terms, stating your name and that you opt out. Disputes then go to the state or federal courts in Contra Costa County, California, and you consent to their jurisdiction.

18.6 Governing law. California law governs, without regard to conflict-of-law rules; the Federal Arbitration Act governs section 18.2.

19. General

19.1 Entire agreement. These Terms, the documents they reference, and any signed agreement under the introduction are the entire agreement about your Provider relationship and replace prior discussions.

19.2 Assignment. You may not transfer your Provider account or these Terms. We may assign them to a successor of the AstroYou business with notice to you.

19.3 Notices. We send notices to the email on your Provider account. You send notices to support@astroyou.com or by mail to Smart Ocular Studio LLC, 37 Nightowl Ct, El Sobrante, CA 94803, United States.

19.4 Severability and waiver. If part of these Terms is unenforceable, the rest remains in effect. A failure to enforce a term is not a waiver.

19.5 Force majeure. Neither party is liable for delay caused by events outside its reasonable control, except payment obligations.

19.6 Questions. Email support@astroyou.com.

Annex A: Data Processing Addendum (CRM data)

This Annex applies when you use the AstroYou CRM or practice tools to store information about your own clients ("Client Data"). It does not apply to AstroYou member data under section 10, for which AstroYou is the controller.

A.1 Roles. You are the controller (or "business" under California law) of Client Data. AstroYou is your processor ("service provider"). AstroYou processes Client Data only on your documented instructions, which are these Terms and your use of the tools.

A.2 Subject matter and duration. Processing consists of storing, displaying, organizing, backing up, and exporting Client Data so you can run your practice, for as long as you keep a Pro subscription plus the 90-day export period in section 11.4.

A.3 Types of data and data subjects. Contact details, birth data, session notes, history, and other information you choose to enter about your clients and prospective clients. You must not enter payment card numbers, government ID numbers, or health records beyond what is needed for your services.

A.4 AstroYou's obligations. AstroYou will: process Client Data only as instructed; keep it confidential and ensure its staff and contractors are bound by confidentiality; apply appropriate technical and organizational security measures, including encryption in transit and at rest and access controls; help you respond to client rights requests through export, correction, and deletion tools; tell you without undue delay, and in any case within 72 hours, after becoming aware of a personal-data breach affecting Client Data; delete or return Client Data at the end of the service as described in section 11.4; and make available the information reasonably needed to show compliance with this Annex.

A.5 Sub-processors. You authorize AstroYou to use sub-processors for hosting, backup, email delivery, and support tooling. The current list is available on request at support@astroyou.com. We will give you 30 days' notice of a new sub-processor; if you object on reasonable data-protection grounds and we cannot resolve it, you may end your Pro subscription and we will refund the unused portion.

A.6 No sale or secondary use. AstroYou will not sell or share Client Data, use it for its own marketing, combine it with data from other sources except to provide the service, or retain, use, or disclose it outside the direct business relationship with you.

A.7 International transfers. Client Data is stored in the United States. If you are subject to the GDPR or UK GDPR, the European Commission's Standard Contractual Clauses (Module 2, controller to processor) and the UK International Data Transfer Addendum are incorporated by reference, with you as data exporter and Smart Ocular Studio LLC as data importer. Copies are available on request.

A.8 Audits. No more than once a year, on 30 days' notice, you may ask for a written description of our security measures and a copy of any third-party security assessment we hold, which satisfies your audit right unless a supervisory authority requires more.

A.9 Liability. Liability under this Annex is subject to section 16.
